These Terms & Conditions ("Terms") govern the use of this website and services offered by Warmbox ("Owner" or "We") and establish the relationship between Warmbox and its end users ("User" or "You"). Additionally, these Terms incorporate any other legal agreements or policies referenced herein. By using Warmbox services, you confirm that you have read, understood, and agreed to these Terms.

1. Definitions
Warmbox Services encompass email warm-up solutions, automated email interactions, reputation-building algorithms, and related infrastructure provided by Warmbox. Users include individuals, companies, or organizations that access or use these services. Third-Party Providers refer to external email service providers (ESPs), hosting providers, or any other integrated third-party service, including but not limited to Google Workspace and Microsoft 365. ESP Terms of Service refer to the terms and policies imposed by third-party email providers governing their infrastructure. Misuse includes spam, phishing, abuse of email systems, violation of ESP policies, or any illegal activities. A Force Majeure Event includes unforeseen circumstances beyond Warmbox’s control, such as natural disasters, cyberattacks, regulatory actions, and changes in third-party policies.
Warmbox Services are designed to assist users in improving their email deliverability by simulating legitimate email interactions that build sender reputation over time. This service requires adherence to ESP regulations and industry best practices. Users must understand that Warmbox does not control ESPs and cannot guarantee specific deliverability outcomes. The effectiveness of Warmbox Services depends on various factors, including the consistency of email behavior, engagement levels, and sender history.
Users must ensure that they use Warmbox Services within the legal and ethical framework outlined by international data protection regulations, including the GDPR, CCPA, and other applicable laws. Any violation of these laws by Users will be their sole responsibility.
2. Acceptance of Terms
By accessing and using Warmbox Services, you confirm that you have the authority to enter into this agreement and that you will comply with all applicable laws, regulations, and ESP Terms of Service. Additionally, you acknowledge the inherent risks of email warm-up services and their dependency on external factors. If you do not agree to these Terms, you must discontinue the use of Warmbox Services.
Users must also ensure that they do not engage in activities that could be considered fraudulent, deceptive, or unethical when using Warmbox Services. By continuing to use the platform, users affirm their understanding of the Terms and their commitment to responsible and lawful use.
Warmbox reserves the right to deny access, suspend, or terminate accounts of Users who are found to be in breach of these Terms.
3. Service Description
Warmbox provides email warm-up solutions designed to improve inbox reputation and deliverability. The service automates warm-up sequences that simulate real interactions, offers customizable email behavior settings, provides analytical dashboards with inbox performance insights, and integrates with external email services such as Google Workspace and Microsoft 365. However, Warmbox does not own or control third-party ESPs and cannot be held responsible for any restrictions, limitations, or suspensions imposed by them. If an ESP enforces restrictions on an inbox due to policy considerations, Warmbox is not liable for any resulting service limitations. Service effectiveness may vary depending on the user’s domain reputation, email practices, and third-party provider rules.
Users acknowledge that results may vary based on factors beyond Warmbox’s control, including but not limited to the age of the email domain, frequency of email sends, content quality, recipient engagement rates, and changes in ESP algorithms.
Users are responsible for ensuring that they use Warmbox Services in compliance with all applicable laws governing electronic communications and data privacy. Failure to do so may result in the suspension or termination of their account without prior notice.
4. Account Registration & Responsibilities
To use Warmbox Services, Users must provide accurate and truthful information, maintain the confidentiality of their login credentials, and immediately notify Warmbox of any unauthorized account access. Warmbox reserves the right to suspend or delete accounts that violate these Terms, pose security risks, or are required to be removed due to ESP violations. Suspended or terminated accounts are not entitled to refunds, compensation, or damage claims.
Users are responsible for ensuring that their use of Warmbox complies with all applicable laws and regulations. Any misuse, fraudulent activities, or attempts to bypass ESP policies may result in immediate account termination and further legal action if necessary.
Warmbox may conduct compliance audits to ensure that Users are not violating any provisions of these Terms. Users found engaging in prohibited activities will be subject to penalties, including immediate termination of service.
5. Misuse Policy
Users are strictly prohibited from sending spam, phishing emails, or any form of unsolicited commercial messages. Engaging in fraudulent, deceptive, or abusive practices, manipulating email interactions in violation of ESP guidelines, or using Warmbox for illegal or harmful activities is not permitted. Additionally, introducing malware, bots, or any malicious code into Warmbox infrastructure is strictly prohibited. Warmbox reserves the right to take action, including blocking or deleting accounts and inboxes that violate these Terms, without prior notice.
To maintain service integrity, Warmbox may conduct routine audits of user activities. If any unauthorized, fraudulent, or non-compliant activity is detected, the offending account may be suspended or permanently disabled without notice.
Users found attempting to bypass security measures or exploit vulnerabilities in the system may be reported to relevant authorities for further investigation.
6. Third-Party Providers & Liability Disclaimer
Warmbox does not control the actions of third-party email service providers (ESPs) and is not liable for any changes they implement that may affect Warmbox’s services. If ESPs modify their policies, suspend email accounts, or restrict certain features, Warmbox cannot be held responsible for any resulting disruptions.
7. Payment Terms & Billing
Payments for Warmbox services are processed through Paddle, our authorized payment provider. All transactions are securely handled in compliance with financial regulations. Payments are non-refundable, and failure to maintain an active subscription may result in service suspension or termination.
8. Intellectual Property
Warmbox retains full ownership of its software, UI, branding, and technology. Users are not permitted to reverse-engineer, modify, or distribute any part of the service without explicit permission.
9. Confidentiality
Users must not share proprietary information related to Warmbox’s algorithms, methodologies, or internal processes. Any breach of confidentiality may lead to legal action.
10. Limitation of Liability
Warmbox’s total liability is limited to the amount paid by the User in the last month. Warmbox is not responsible for ESP-imposed penalties, suspensions, inbox issues, or any business losses, revenue loss, or indirect damages caused by service disruptions or third-party changes.
11. Indemnification
Users agree to indemnify and hold Warmbox harmless against any claims, damages, or legal disputes arising from violations of these Terms, ESP restrictions due to the User’s actions, or any unauthorized use of Warmbox Services.
12. Termination
Warmbox may terminate access to its Services without prior notice if a User violates these Terms. Users may cancel their subscription at any time, but no refunds will be provided upon termination.
13. Governing Law & Dispute Resolution
These Terms are governed by the laws of Belgium. Any disputes will first be attempted to be resolved through negotiation. If resolution is not reached, disputes shall be referred to the competent courts in Brussels, Belgium.
14. Modifications to Terms
Warmbox reserves the right to update these Terms at any time. Continued use of the Services after updates indicates acceptance of the revised Terms. Users should periodically review this document for changes.
